What Arrhis is

Arrhis is software for sharing information about a business that is for sale. A seller creates a room, connects data sources with read-only access, uploads files, and sends each buyer a link. Buyers verify their email, sign an NDA in the page, and see what the seller has chosen to share at each stage of the deal.

Arrhis is not a broker, advisor, escrow agent or marketplace. We do not find buyers, value businesses, negotiate deals or hold funds.

We are not a party to your NDA

Any NDA signed in a room is an agreement between the seller and the buyer only. Arrhis provides the software used to present and sign it and to store a record of the signature. We are not a party to that NDA, we do not enforce it, and we are not responsible for either party's compliance with it. No legal, tax or financial advice

Nothing in Arrhis, including dashboards, reconciliations, guides, teasers and the Exit Pack, is legal, tax, accounting, investment or financial advice. Buyers and sellers should get their own professional advice before making decisions. See our disclaimer.

The Exit Pack is not an audit

The Exit Pack and Exit Pack Pro are preparation services. We organize and present information from your connected sources and the files you give us. They are not an audit, a review, a quality of earnings report, a valuation or an assurance engagement of any kind, and nobody should rely on them as one. We do not verify the underlying records beyond what the connected sources report.

Seller responsibilities

You are responsible for the accuracy and completeness of everything you upload or write in a room, including notes and explanations. Items you upload are labelled "Uploaded by seller" so buyers can see they did not come from a connected source.
You must have the right to connect each data source and to share its data and your files with the buyers you invite.
You decide what each buyer sees and when, including when to mark a buyer "LOI signed", which unlocks customer names and bank statements for that buyer.
If your data includes personal information about your customers or staff, you are responsible for having a lawful basis to share it with buyers.

Buyer responsibilities

Use a room only to evaluate the deal it relates to, and only as allowed by the NDA you signed.
Do not try to copy, scrape, remove watermarks from, or get around the view-only protections on files.
Do not share your room link. Links are issued per buyer, and activity in a room is recorded against the buyer it was sent to.

Connected sources

We connect to Stripe with a restricted read-only key, to Mercury with a read-only token, and to Google Analytics with read-only access. We do not ask for, and you should never give us, credentials that can move money or change settings. Credentials are stored encrypted. You can revoke any connection at any time from the source itself. Figures from connected sources are shown as the source reports them; we do not guarantee that a source's data is correct or complete.

Room passes

A room pass is a one-time purchase for one room. It is not a subscription and it never renews automatically. We will not charge you again unless you choose to buy something.
A pass lasts 90 days. On day 90 the room freezes: buyers can no longer open it, and your data stays saved.
Before the room freezes, you can extend it by buying an extension, which adds another 90 days. A frozen room can be reactivated by buying a new pass at the full price for its tier.
The price depends on the asking price of the business, as shown on our pricing page at the time of purchase.

Advisor plans

Advisor plans are billed monthly or annually, as shown at checkout. They continue for each billing period until cancelled. You can cancel at any time, and the plan stays active until the end of the period you have paid for.

Refunds

If you ask within 7 days of purchase and no buyer has signed an NDA in that room, we will refund the purchase in full. This applies to room passes, extensions, and the Exit Pack. After 7 days, or once any buyer has signed an NDA in the room, purchases are not refundable, except where the law requires otherwise. To ask for a refund, email [email protected] from the address on your account.

Your content

You keep ownership of everything you upload or connect. You give us permission to host, process, display and transmit it only as needed to run the service for you and the buyers you invite. We do not sell your data, and we do not use it to advertise.

Acceptable use

Do not use Arrhis to share information you have no right to share, to mislead buyers, to break the law, or to interfere with the service or other users. We may suspend a room or account that we reasonably believe is being used this way, and will tell you why unless the law prevents it.

Ending your use

You can delete a room or your account at any time. When a room is deleted, we delete its data as described in our privacy policy. We may end these terms if you seriously breach them. Sections that by their nature should survive, such as those on liability and the NDA, survive.

Warranties and liability

We work to keep Arrhis available, accurate and secure, but we provide it as is, without warranties beyond those the law requires. To the extent the law allows, we are not liable for indirect or consequential losses, lost profits, or the outcome of any deal, and our total liability to you for any claim is limited to the amount you paid us in the 12 months before the claim arose.

Changes to these terms

We may update these terms. For material changes, we will tell account holders by email before they take effect. The date at the top shows when they last changed.
